Please read these terms carefully before using HK Business Setup's Hong Kong company formation services.

Service Description

HK Business Setup provides Hong Kong company formation and corporate services including:

- Company incorporation filing with the Hong Kong Companies Registry

- Company secretary services as required under the Companies Ordinance (Cap. 622)

- Registered office address in Hong Kong

- Preparation of statutory documents (Articles of Association, incorporation forms, statutory books)

- KYC/AML compliance and due diligence

- Company kit preparation (chops, seals, statutory records)

- Bank account opening assistance

- Annual compliance services (annual returns, audit preparation, tax filing assistance)

We act as your incorporation agent and company secretary. We are not a law firm and do not provide legal advice. For complex legal matters, we recommend consulting a licensed Hong Kong solicitor.

Pricing & Payments

Formation Package — $1,499 USD (one-time)

This all-inclusive price covers company incorporation, government fees (HK$1,545 CR filing + HK$2,350 Business Registration Certificate), Year 1 company secretary, Year 1 registered address, company kit with chops and seals, and all items listed on our pricing page.

Paid Consultation — $29 USD

A 30-minute video consultation with an incorporation specialist. The $29 fee is credited toward the formation package if you proceed within 30 days.

Payment terms:

- Full payment is required before we begin the incorporation process

- Payments are processed securely via Stripe in USD

- Government fees are included in the stated price and are non-negotiable (set by the Hong Kong government)

- Prices are subject to change; the price at the time of your order confirmation is final

Annual renewal services (Year 2+) are quoted separately and subject to prevailing rates at the time of renewal.

Refund Policy

Before filing with the Companies Registry:

If you cancel before we submit your incorporation documents to the Companies Registry, you are entitled to a full refund minus a $150 administrative fee covering KYC processing and document preparation.

After filing with the Companies Registry:

Once documents are filed with the Companies Registry, government fees (HK$3,895) are non-refundable as they are paid directly to the Hong Kong government. The remaining service fee may be partially refunded at our discretion, depending on the stage of processing.

Consultation calls ($29):

Refundable if we cannot schedule the call within 5 business days or if there is a technical issue on our end. Not refundable for no-shows or cancellations with less than 24 hours notice.

Rejected applications:

If the Companies Registry rejects your application due to issues with your chosen company name, we will re-file with an alternative name at no additional cost. If the rejection is due to KYC/AML concerns that cannot be resolved, we will refund the service fee minus government fees already paid and the $150 administrative fee.

Client Obligations

By using our services, you agree to:

- Provide accurate, complete, and truthful information in your application

- Supply genuine, certified copies of identification documents

- Respond to our information requests within 10 business days

- Not use the incorporated company for any unlawful purpose

- Comply with all applicable Hong Kong laws and regulations

- Maintain the company in good standing by fulfilling annual compliance obligations

Failure to provide requested information within 30 days may result in delays or cancellation of your application. We reserve the right to refuse service if we have reasonable grounds to believe the company will be used for illegal activities.

Limitation of Liability

To the maximum extent permitted by Hong Kong law:

- Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific service giving rise to the claim

- We are not liable for any indirect, incidental, consequential, or punitive damages

- We are not liable for delays caused by the Companies Registry, Inland Revenue Department, banks, or other third parties

- We are not liable for bank account application rejections, as these decisions are made solely by the banks

- We are not responsible for tax advice — our consultation is general in nature and does not constitute professional tax advice

We make reasonable efforts to ensure accuracy of all filings but cannot guarantee specific timelines as these depend on government processing times.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China.

Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

Nothing in these terms shall limit any rights you may have under the Hong Kong Consumer Protection laws or other mandatory statutory provisions.

Dispute Resolution

In the event of any dispute, we encourage you to first contact us directly at legal@hkbusinesssetup.com. We aim to resolve all disputes informally within 30 days.

If informal resolution is not possible, disputes shall be resolved through:

- Mediation — conducted by the Hong Kong Mediation Centre (HKMC) in accordance with its mediation rules

- Arbitration — if mediation fails within 60 days, the dispute shall be referred to arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules

The language of arbitration shall be English. The seat of arbitration shall be Hong Kong.

Nothing in this clause prevents either party from seeking urgent injunctive relief from the courts of Hong Kong.

Changes to These Terms

We may update these terms from time to time. Material changes will be communicated via email at least 30 days before taking effect.

Your continued use of our services after changes take effect constitutes acceptance of the updated terms.
